Terms of Service

By registering for a Rasazu account, clicking "I agree", or otherwise using the Platform, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy.

If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, and references to "you" in these Terms refer to that entity.

If you do not agree to these Terms, do not use the Platform.

Rasazu is a WhatsApp-native commerce platform that enables Nigerian businesses ("Merchants") to:

• ▸Automate customer conversations and product enquiries via an AI shopping assistant on WhatsApp
• ▸Manage a product catalogue that syncs with WhatsApp Shop (Meta Commerce Catalogue)
• ▸Process customer orders and collect payments via Paystack within WhatsApp
• ▸Configure delivery zones, pickup points, and fulfilment settings
• ▸Access a merchant dashboard for order management, customer conversations, and business analytics
• ▸Receive AI-generated weekly business summaries, inventory alerts, and cart recovery notifications

Rasazu is operated by Seer Group Inc. In Nigeria, operations are conducted through its affiliate Seer Global Solutions Limited.

• ▸You must be at least 18 years of age to use the Platform
• ▸You must be operating a legitimate business and not be prohibited by law from entering into this agreement
• ▸The Platform is designed for businesses based in or selling to customers in Nigeria. Use from other jurisdictions is permitted but may be subject to additional legal requirements that you are responsible for identifying and complying with
• ▸You may not use the Platform if your account has previously been suspended or terminated by Seer Group Inc. for a breach of these Terms

• ▸You are responsible for maintaining the confidentiality of your account credentials. Do not share your password
• ▸You are responsible for all activity that occurs under your account, including activity by team members you invite
• ▸You must notify us immediately at support@rasazu.com if you suspect unauthorised access to your account
• ▸You must provide accurate and complete information at registration and keep it up to date
• ▸Each team member you invite must agree to these Terms. You are responsible for your team members' compliance
• ▸Two-factor authentication is strongly recommended and may be required for certain account actions

Plans and pricing

• ▸Rasazu offers tiered subscription plans (Starter, Growth, Pro, and Enterprise) with different message limits, AI request quotas, and features
• ▸Pricing is displayed in Nigerian Naira (NGN). Billing periods are Monthly, Quarterly, Biannual, and Yearly
• ▸A 7-day free trial is available on registration. No payment is required during the trial period

Billing

• ▸Subscriptions are billed in advance via Paystack using a card you authorise or via a bank transfer you confirm
• ▸For plans with a Paystack plan code, your subscription auto-renews at the end of each billing period. You will receive a reminder 7 days before renewal
• ▸For manual-billing plans, you must initiate payment before expiry. Failure to renew results in your account being marked past-due and AI responses being suspended
• ▸All payments are final and non-refundable except where required by Nigerian consumer protection law or where we have made an error

Cancellation

• ▸You may cancel your subscription at any time from the Billing section of your dashboard. Cancellation takes effect at the end of the current billing period — you retain access until then
• ▸Cancellation does not entitle you to a refund of amounts already charged

Usage limits

• ▸Each plan includes a monthly AI request quota and a monthly outbound message quota. Exceeding these limits suspends AI responses until the next calendar month or until you upgrade
• ▸You will receive a warning notification when you reach 80% of any plan limit
• ▸Seer Group Inc. reserves the right to adjust plan limits with 30 days' notice

Platform commission

• ▸For merchants using Paystack automated split payments, Seer Group Inc. deducts a platform commission from each order transaction. The commission rate applicable to your account is displayed in your payment settings

Your use of the Platform for WhatsApp messaging is subject to Meta's WhatsApp Business Policy and WhatsApp Commerce Policy. You agree to:

• ▸Only message customers who have contacted your business first, or who have explicitly opted in to receive messages from you
• ▸Honour all customer opt-out requests immediately. The Platform automatically processes STOP/unsubscribe requests; you must not attempt to circumvent this
• ▸Not use the Platform to send spam, bulk unsolicited messages, or marketing messages to people who have not opted in
• ▸Not use the Platform to sell or promote products prohibited by WhatsApp's Commerce Policy (including alcohol, tobacco, weapons, adult content, and financial services without required licences)
• ▸Maintain your WhatsApp Business Account (WABA) quality rating. Excessive block rates may result in your WABA being restricted or banned by Meta — Seer Group Inc. is not liable for actions taken by Meta against your WABA
• ▸Not attempt to use the Platform to circumvent Meta's messaging limits, conversation windows, or template requirements

• ▸You are solely responsible for the accuracy of your product catalogue, pricing, availability, and descriptions
• ▸You are responsible for fulfilling orders placed through the Platform, including delivery, quality, and customer satisfaction
• ▸You are responsible for all customer-facing communications conducted through the Platform, including AI-generated responses that you have enabled and configured
• ▸You must have all necessary licences, permits, and regulatory approvals to sell the products you list on Rasazu
• ▸You must comply with Nigerian consumer protection laws, including the Consumer Protection Act and any sector-specific regulations applicable to your products
• ▸You must not misrepresent your business, products, pricing, or delivery terms to customers
• ▸You are responsible for any tax obligations arising from sales made through the Platform

• ▸The AI shopping assistant is powered by Claude (Anthropic, Inc.) and responds based on your product catalogue, knowledge base documents, and custom instructions you provide
• ▸AI responses are generated automatically. You acknowledge that AI can make errors, and you are responsible for monitoring conversations and correcting any inaccurate responses
• ▸You can pause the AI for any specific customer at any time from your dashboard and handle the conversation manually
• ▸You must not configure the AI with instructions that are false, misleading, abusive, or that violate any law or Meta's policies
• ▸Seer Group Inc. filters and sanitises custom AI instructions to prevent misuse, but does not guarantee that all possible misuse is prevented
• ▸Seer Group Inc. is not liable for business losses caused by incorrect AI responses, provided we have not been negligent in the operation of the AI system

• ▸Payment processing is provided by Paystack Payments Limited, a licensed payment gateway. By using automated payments on Rasazu, you also agree to Paystack's Terms of Service
• ▸For manual payment mode (bank transfer), you are responsible for verifying payments before confirming orders. Rasazu provides tools to assist but cannot automatically verify bank transfers
• ▸Payout requests are processed via Paystack bank transfer to your registered account. Processing time depends on Paystack and your bank — typically 1–3 business days
• ▸Rasazu is not a party to the contract of sale between you and your customers. Any disputes about orders, refunds, or product quality are between you and your customers
• ▸Rasazu automatically cancels and releases inventory for orders unpaid after 2 hours (pending orders) and unconfirmed after 48 hours (awaiting-confirmation orders). You will be notified before any automatic cancellation

• ▸KYC verification is required to unlock full Platform access including AI responses and payment features
• ▸You must provide accurate KYC information. Submitting false, forged, or misleading documents is a material breach of these Terms and will result in immediate account suspension and may be reported to relevant authorities
• ▸KYC review is conducted by authorised Seer Group Inc. staff. Approval or rejection is at our discretion, subject to applicable law
• ▸Approved KYC does not constitute a guarantee of ongoing compliance. We reserve the right to re-verify at any time
• ▸You consent to us retaining KYC documents for the periods set out in our Privacy Policy

You may not use the Platform to:

• ▸Violate any Nigerian law, regulation, or court order, or the laws of any other jurisdiction that applies to your use
• ▸Sell products prohibited by WhatsApp's Commerce Policy or by Nigerian law, including controlled substances, weapons, counterfeit goods, or stolen property
• ▸Engage in fraud, phishing, money laundering, or any other financial crime
• ▸Harvest customer data for purposes outside of your business operations on Rasazu
• ▸Reverse-engineer, decompile, disassemble, or attempt to extract the source code of the Platform
• ▸Attempt to gain unauthorised access to any part of the Platform, other merchants' accounts, or our infrastructure
• ▸Use the Platform in any way that could damage, overload, or impair our servers or networks
• ▸Use automated tools (bots, scrapers, crawlers) to access the Platform other than through our official API
• ▸Resell or sublicense access to the Platform without our written consent
• ▸Impersonate another person or entity, or misrepresent your affiliation with any person or entity

Violation of this section may result in immediate account suspension without refund and may be referred to law enforcement.

Our IP: The Platform, including the software, design, branding, AI models, and all content created by Seer Group Inc., is owned by or licensed to Seer Group Inc. and is protected by Nigerian and international intellectual property laws. These Terms do not grant you any ownership rights in the Platform.

Your IP: You retain all rights to your product catalogue, business content, knowledge base documents, and any content you upload to Rasazu. By uploading content, you grant Seer Group Inc. a limited, non-exclusive licence to use that content solely to operate and provide the Platform to you.

Feedback: If you provide feedback or suggestions about the Platform, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback in any way, without compensation to you.

We aim to keep the Platform available 24/7 but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to:

• ▸Scheduled maintenance (we will endeavour to give advance notice)
• ▸Unplanned outages of our infrastructure or third-party services (Meta, Paystack, Anthropic, Termii)
• ▸Events outside our reasonable control (force majeure)

Seer Group Inc. is not liable for losses caused by Platform unavailability, except where caused by our gross negligence or wilful misconduct.

To the fullest extent permitted by Nigerian law:

• ▸The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied
• ▸Seer Group Inc. does not warrant that the AI assistant will be accurate, complete, or suitable for any particular purpose
• ▸Seer Group Inc.'s total liability to you for any claim arising from or related to these Terms or the Platform is limited to the total amount you paid to us in the 3 months immediately preceding the event giving rise to the claim
• ▸Seer Group Inc. is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of business opportunities
• ▸Seer Group Inc. is not liable for the actions of Meta, Paystack, Anthropic, or any other third-party service provider

You agree to indemnify, defend, and hold harmless Seer Group Inc., its affiliates (including Seer Global Solutions Limited), directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

• ▸Your use of the Platform in violation of these Terms
• ▸Your products, services, or business practices
• ▸Any dispute between you and your customers
• ▸Your violation of any applicable law or third-party rights
• ▸Your WhatsApp Business Account being restricted or banned due to your messaging practices

By you: You may close your account at any time by contacting support. Closure takes effect within 30 days and all your data will be deleted in accordance with our Privacy Policy, subject to legal retention requirements.

By us: We may suspend or terminate your account with or without notice if:

• ▸You breach these Terms or our policies in a material way
• ▸You submit false KYC documents or misrepresent your business
• ▸Your WABA is permanently banned by Meta
• ▸We are required to do so by law or a regulatory authority
• ▸Your subscription lapses and remains unpaid for more than 30 days after the due date

On termination, your access to the Platform ceases immediately. We will retain your data for the periods required by law and then delete it. You remain liable for any amounts owed to us at the time of termination.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria, except where both parties agree to alternative dispute resolution.

For disputes involving amounts below ₦5,000,000 (five million Naira), either party may elect to use a recognised Nigerian arbitration body in place of court proceedings.

Seer Group Inc. may update these Terms at any time. For material changes, we will notify registered merchants by email at least 14 days before the change takes effect. Continued use of the Platform after the effective date of a change constitutes your acceptance of the revised Terms.

If you do not agree to a change, you must stop using the Platform and close your account before the change takes effect.
